1. Acceptance of Terms

By accessing or using SOPFlow (the "Service"), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these Terms, please do not use the Service.

2. Service Description

SOPFlow is an AI-powered tool that converts raw, unstructured text — such as Slack messages, email threads, and rough notes — into formatted Standard Operating Procedures (SOPs). The Service includes AI generation, a templates library, Notion integration, and export capabilities (Markdown, PDF, DOCX, plain text, and print).

3. Account Registration

• You must provide accurate and complete information when registering for an account.
• You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
• You must be at least 18 years of age to create an account and use the Service.
• One person or entity may not maintain multiple free-tier accounts to circumvent usage limits.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any local, state, national, or international law.
• Submit content that is illegal, harmful, threatening, abusive, defamatory, or that infringes on the intellectual property rights of others.
• Attempt to disrupt, overload, reverse engineer, or compromise the security of the Service or its infrastructure.
• Use the Service to generate documentation that is intentionally misleading, fraudulent, or harmful.
• Share your account credentials with others or allow unauthorized access to the Service.
• Use automated scripts, bots, or scrapers to access the Service except as permitted by us.

5. AI-Generated Content

SOPs produced by the Service are generated by artificial intelligence based on the raw text you provide. You acknowledge and agree that:

• AI-generated content may contain errors, omissions, or inaccuracies.
• You are solely responsible for reviewing, verifying, and editing all generated content before publishing, sharing, or relying on it.
• We do not guarantee the accuracy, completeness, reliability, or suitability of AI-generated SOPs for any specific purpose.
• You assume all risk associated with the use of AI-generated content in your organization or workflows.

6. Subscriptions and Billing

• The Service offers a free tier limited to 3 SOP generations and a Pro subscription at $9.00 per month.
• Subscriptions are billed monthly through Stripe and automatically renew until cancelled.
• You can cancel your subscription at any time from the Settings page; access to Pro features continues until the end of the current billing period.
• Refunds for unused billing periods are issued at our sole discretion. To request a refund, contact support.
• We reserve the right to change pricing with reasonable advance notice. Existing subscribers will be charged the new rate at the next renewal after notice.

7. Intellectual Property

• Your Content: You retain all rights to the SOPs you create using the Service. Your raw input and generated SOPs belong to you.
• Our Service: We retain all rights, title, and interest in the Service, including the software, design, branding, templates, and underlying technology.
• License to Process: By submitting raw text, you grant us a limited, non-exclusive license to process your content through our AI provider for the sole purpose of generating and delivering your SOPs.

8. Disclaimers

The Service is provided on an "as-is" and "as-available" basis. We expressly disclaim all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated content will be accurate or appropriate for your needs.

9. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service or any AI-generated content. Our total aggregate liability for any claim arising out of or relating to the Service shall not exceed the amount you paid us in the preceding 12 months.

10. Indemnification

You agree to indemnify and hold harmless SOPFlow and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including for violations of these Terms. You may delete your account and stop using the Service at any time. Upon termination, your right to use the Service ends immediately. These Terms will survive termination for provisions that by their nature should survive.

12. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.
